Affiliate Program Terms

These Affiliate Program Terms (the Affiliate Terms) govern your participation in the GBPly affiliate program (the Program). The Program is operated by 3local Ltd, a company registered in England and Wales with company number 16598862 and registered office at 232 Stamford Street Central, Ashton-Under-Lyne, United Kingdom, OL6 7NQ (we, us, our).

These Affiliate Terms apply in addition to our main Terms of Service and Privacy Policy. In the event of a conflict between these Affiliate Terms and the main Terms of Service in respect of the Program, these Affiliate Terms prevail.

By applying to and joining the Program, accepting an invite, generating a referral link through Tolt, or receiving any commission, you agree to be bound by these Affiliate Terms.

The Program is invite-only. To apply, please email support@mail.gbply.net with details of your audience, channels, and how you intend to promote GBPly. We will issue invites at our sole discretion and may decline or revoke any application without giving reasons.

To participate you must be at least 18 years old, legally capable of entering into binding contracts, and not subject to any sanctions or restrictions that would make participation unlawful. You must provide accurate, current, and complete information when registering and keep it up to date.

We may exclude or remove employees and contractors of 3local Ltd, current or recent customers' staff acting on behalf of their employer, direct competitors, and any party we reasonably consider unsuitable for the Program. Only one affiliate account is permitted per person or legal entity unless we agree otherwise in writing.

The Program is operated through Tolt, our third-party affiliate management platform. Tolt issues your unique referral links and tracking parameters, records clicks and conversions, calculates commissions, and processes payouts on our behalf.

Attribution is determined by Tolt's tracking, including its cookie window, last-click attribution rules, and conflict-resolution logic. We do not adjust attribution outside of what Tolt records, except in cases of suspected fraud or breach of these Affiliate Terms.

Your use of Tolt is also subject to Tolt's own terms of service and privacy policy. You are responsible for reviewing and complying with them. We are not responsible for the availability, accuracy, or operation of Tolt's platform.

Your commission rate is shown in your Tolt affiliate dashboard. Commission rates may vary by program, tier, promotion, customer geography, or product line, and we may change them from time to time as set out in section 12.

Commission is earned on qualifying paid subscription payments made by new customers you refer through your Tolt referral link. Commission is paid for up to 12 months from the date of the referred customer's first paid payment, for as long as that customer continues to pay for an eligible subscription. After 12 months, no further commission accrues from that customer, regardless of whether they continue their subscription.

No commission is paid on free trials, free plans, refunded transactions, charged-back transactions, fraudulent transactions, transactions disputed by the cardholder, transactions reversed by Paddle, taxes, or amounts paid through promotions, vouchers, gift credits, or any other discount we have not authorised for the Program.

Commissions are quoted and paid net of any refunds, chargebacks, payment processor fees passed through by Paddle where applicable, currency conversion costs, and any disputed amounts. You are solely responsible for any taxes, duties, VAT, withholding, or social contributions that apply to your commissions in your country of residence.

A qualifying sale is a paid subscription purchased through Paddle by a new customer who is not already a GBPly customer at the time of referral, who has not previously held a GBPly account, and who is not the affiliate, a member of the affiliate's household, or an account the affiliate controls or is otherwise associated with.

Self-referrals are not permitted and will not generate commission. Referrals through cashback, coupon, deal-aggregator, or loyalty sites are not permitted unless we have agreed to the channel in writing in advance. Coupon codes are not eligible unless we issued them to you specifically for the Program.

Commissions accrue once payment has cleared and the applicable refund window under our main Terms of Service has expired. Commissions may be reversed at any time if the underlying transaction is later refunded, charged back, reversed, or found to be fraudulent or in breach of these Affiliate Terms.

Payouts are generated 30 days after the end of each calendar month for commissions earned and confirmed in the prior calendar month. The current minimum payout threshold is $500 USD. If your confirmed balance is below the threshold at the time payouts are processed, the balance rolls over to the next eligible payout cycle.

Supported payout methods currently include Wise, PayPal, Wire, Swift, and local bank transfer, subject to availability in Tolt for your country and currency. You are responsible for selecting and maintaining a valid payout method in your Tolt dashboard, providing accurate beneficiary details, and for any fees charged by your bank, PayPal, Wise, or any intermediary institution.

We may delay, hold, or withhold any payout while we investigate suspected fraud, suspected breach of these Affiliate Terms, missing or incorrect tax or beneficiary information, sanctions or compliance checks, or unresolved disputes. Payouts that cannot be delivered after reasonable attempts due to incorrect details may be returned, deducted of any third-party fees, and credited back to your Tolt balance.

We reserve the right to change the payout frequency, the minimum payout threshold, the supported payout methods, and any other payout mechanics at any time as set out in section 12.

Where you participate in the Program as part of a joint venture, cross-promotion, or reciprocal affiliate arrangement — meaning we have agreed to promote your product or service in exchange for you promoting GBPly — the commission rate and commission duration we offer you will be matched to the terms you offer us on your own affiliate or partner program, rather than the standard Program terms in section 4.

If you stop paying us commission for any reason — including ending your affiliate program, removing us from it, suspending or terminating our account on your program, withholding earned commission, or failing to pay an undisputed balance within 60 days of its due date — we may immediately stop accruing and stop paying any further commission to you under the matched JV arrangement, with no obligation to resume. Commissions already earned and confirmed in good standing before that point will be paid on the next normal payout cycle, subject to the rest of these Affiliate Terms.

JV and reciprocal matching only applies where it has been agreed in writing between you and an authorised representative of 3local Ltd and recorded against your affiliate account in Tolt. Without that written agreement, the standard Program commission rate and 12-month recurring duration in section 4 apply.

We may, at our sole discretion, end the matched arrangement and revert your account to the standard Program terms if the underlying JV relationship ends, if the partner's program materially changes its rate or duration, or if we reasonably believe the arrangement is no longer commercially balanced. We will give reasonable notice through Tolt or email before reverting.

You may promote GBPly through honest reviews, blog posts, social media, email newsletters to people who have opted in, video content, podcasts, organic search content, and paid advertising on your own brand or generic non-GBPly keywords.

You must not engage in any of the following:

You are responsible for the lawfulness of all your promotional activities, including disclosing your affiliate relationship as required by the FTC, ASA, CMA, or other regulator that applies to your audience.

Subject to your continued compliance with these Affiliate Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the GBPly name and the official affiliate logos and assets we make available, solely for the purpose of promoting GBPly under the Program.

You acquire no ownership in our trademarks, logos, branding, or marketing materials. You must not register or attempt to register any of our trademarks, brand names, or confusingly similar marks anywhere in the world. We may require you to remove or take down any content, ad, page, post, or other material that uses our brand or refers to GBPly, at our sole discretion, and you agree to comply promptly.

Specific commission rates, conversion data, internal performance metrics, roadmap information, pre-release pricing, and any other non-public information shared with you in connection with the Program are confidential and may not be disclosed to third parties without our prior written consent.

Where you collect personal data through your promotional channels (for example email addresses for newsletters), you are an independent controller of that data and must comply with all applicable data protection law, including GDPR, UK GDPR, CCPA, and any other privacy law that applies to you and your audience.

We may, at our sole discretion and without prior notice, suspend or terminate your participation in the Program, disable your Tolt account or referral links, withhold any pending commission, and claw back any commission already paid, where we reasonably believe that you have:

Either party may terminate participation in the Program at any time, for any reason or no reason, by giving notice to the other. On termination, all referral links will be deactivated, no further commission will accrue, and any unpaid balance below the minimum payout threshold will be forfeited. Pending commissions over the threshold that were earned in good standing and that are not subject to investigation, dispute, or claw-back will be paid on the next normal payout cycle.

We reserve the right to change any aspect of the Program at any time, with or without notice. This includes (without limitation) commission rates, the 12-month commission duration, attribution windows, qualifying-sale criteria, the minimum payout threshold, supported payout methods, payout timing, eligibility, prohibited conduct, and these Affiliate Terms themselves.

Where we make material changes, we will use reasonable efforts to notify active affiliates through Tolt, email, or by posting an updated version of these Affiliate Terms on this page. Continued participation in the Program after a change takes effect constitutes acceptance of the change. If you do not accept a change, your sole remedy is to stop participating in the Program and notify us in writing.

We may close, pause, or restructure the Program in whole or in part at any time. On closure, sections 5, 6, and 11 will continue to apply to commissions earned before the closure date.

You participate in the Program as an independent contractor. Nothing in these Affiliate Terms creates an employment, agency, partnership, joint venture, or franchise relationship between you and 3local Ltd. You have no authority to make, and must not make, any representation, warranty, commitment, or contract on our behalf, or to bind us in any way.

The Program is provided on an "as is" and "as available" basis. We make no warranty or representation that the Program, our referral tracking, Tolt's platform, or any payout method will be uninterrupted, error-free, or secure, and we disclaim all implied warranties to the fullest extent permitted by law. We do not guarantee any minimum level of traffic, conversions, commissions, or earnings.

Nothing in these Affiliate Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

Subject to the sentence above, our total aggregate liability arising out of or in connection with the Program and these Affiliate Terms will not exceed the total amount of commission paid to you under the Program in the six (6) months immediately preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential loss, or for any loss of profits, revenue, business, opportunity, goodwill, reputation, or anticipated commissions.

You will indemnify and keep indemnified 3local Ltd, its directors, officers, employees, and contractors against losses, liabilities, costs, claims, damages, expenses, and reasonable legal fees arising from or relating to your promotional activities, your use of our brand or marketing materials, your communications with prospects or customers, your collection or processing of personal data, your breach of these Affiliate Terms, or your breach of any applicable law or third-party platform policy.

These Affiliate Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Affiliate Terms or the Program, unless mandatory law in your country of residence requires otherwise.
